1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the Bizonder website and related pages (the “Site”) operated by Bizonder B.V. (“Bizonder,” “we,” “us,” or “our”). By visiting, browsing, or submitting a form through the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Site.

You must be at least 16 years old to use the Site. If you are under 18, you represent that you have permission from a parent or legal guardian and that they have reviewed these Terms with you.

2. Education-Only Disclaimer

Bizonder B.V. provides online educational services only. The Site and any learning materials, workshops, webinars, templates, and messages from our team are provided for educational and informational purposes. They are not a substitute for professional advice tailored to your specific circumstances.

Bizonder B.V. does not provide consulting, financial services, legal services, accounting, investment services, recruitment, employment placement, healthcare services, immigration services, software development, engineering services, or any regulated professional services. Nothing on the Site creates a professional-client relationship for regulated services.

Participation in educational programs does not guarantee employment, promotions, certifications, business success, or financial outcomes. Learning results depend on independent application and context.

3. Description of the Site and Services

The Site presents information about our online professional education offerings, which may include self-paced learning materials, structured programs, virtual workshops, webinars, downloadable educational resources, and learner support related to course content. Program availability, duration, and included materials may change over time.

The Site also functions as a registration and inquiry portal. When you submit a registration request or inquiry, we use the information you provide to respond, confirm details, and support enrollment in a learning program. We may update, replace, suspend, or discontinue any portion of the Site at any time.

4. Acceptable Use

You agree to use the Site in a lawful, respectful, and secure manner. In particular, you agree that you will not:

• Attempt to gain unauthorized access to the Site, accounts, forms, or any systems related to the Site.

• Use the Site in a way that violates applicable sanctions or export control laws.

We may suspend or block access to the Site if we reasonably believe your use creates a security risk, violates these Terms, or harms other users or our operations.

5. Intellectual Property

The Site, including text, branding, layout, templates, and educational materials made available through the Site, is owned by or licensed to Bizonder B.V. and is protected by intellectual property laws. Bizonder and related marks are trademarks or trade names of Bizonder B.V.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal and internal professional learning purposes. You may not copy, reproduce, distribute, publicly display, reverse engineer, or create derivative works from the Site or materials unless we explicitly allow it in writing.

6. Third-Party Services and Links

The Site may reference third-party services (for example, tools used for video delivery, email, or analytics). We are not responsible for third-party websites, their content, or their privacy practices. Any third-party services are provided “as is” and are governed by the third party’s terms and policies.

7. Disclaimer of Warranties

The Site and all content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Bizonder B.V. disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses. We do not warrant that educational content will meet your requirements or that any particular outcomes will be achieved through participation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Bizonder B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, or reputational harm, arising out of or related to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Bizonder B.V.’s total liability for any claim arising out of or related to the Site or these Terms will be limited to the greater of (a) the amount you paid to Bizonder B.V. in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits liability that cannot be excluded under Dutch law, including liability for intent (opzet) or gross negligence (grove schuld), or for death or personal injury caused by negligence where applicable.

9. Indemnification

You agree to indemnify and hold harmless Bizonder B.V., its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Site, (b) your violation of these Terms, or (c) the information you submit through the Site.

10. Force Majeure

Bizonder B.V. will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, pandemics, government actions, internet or telecommunications outages, cyberattacks, or failures of hosting and cloud providers.

11. International Use

Bizonder B.V. is established in the Netherlands and operates the Site from the Netherlands. The Site is intended to provide online education accessible to learners in Canada; however, we make no representation that the Site is appropriate or lawful for access in every jurisdiction. You are responsible for complying with local laws where you access the Site.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands, excluding its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Site will be submitted to the competent courts of the Netherlands.

If you are a consumer residing in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence, where applicable.

13. Dispute Resolution

Before filing a formal claim, you agree to contact us and provide a concise written description of the issue and the relief you are seeking. The parties will attempt to resolve disputes informally for at least 30 days.

If the dispute is not resolved, either party may pursue claims in the courts described in Section 12, subject to any mandatory legal rights that apply.

14. Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms or if your use poses a security risk. Sections related to intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive termination.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced by a valid provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bizonder B.V. regarding your use of the Site and supersede any prior or contemporaneous agreements or understandings on the same subject.

17. Assignment

Bizonder B.V. may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

18. No Waiver

Our failure to enforce any provision of these Terms will not be a waiver of our right to enforce that provision later. Any waiver must be in writing and signed by an authorized representative of Bizonder B.V.

19. Modifications to These Terms

We may update these Terms from time to time. Changes become effective 14 days after they are posted on this page, unless a change is required by law or is necessary to address security or operational issues, in which case it may take effect immediately. The “Last Updated” date indicates when the latest version was posted.

20. Electronic Communications

By using the Site and submitting forms, you consent to receive communications from us electronically (for example, by email). You agree that electronic communications satisfy any legal requirement that such communications be in writing, consistent with applicable electronic communications rules under Dutch and EU law.
